User Agreement

This User Agreement (hereinafter sometimes known only as the "Agreement") constitutes a legal and binding agreement between you and CornerCafeSites.com and its sister sites, including LiteraryCornerCafe.com. By using, accessing our site, or registering as a member of the CornerCafeSites.com network, you agree to be bound by and hereby become a party to all the terms of this Agreement, whether in total or in part. Failure to agree to the terms and conditions set forth in this Agreement prohibits you from using this site or any site in the CornerCafeSites.com network.

We reserve the right to amend this Agreement by posting the amended terms on our Web site. These amended terms, if any, will take effect as soon as they are posted. By continuing to access our Web site, or any site in the CornerCafeSites.com network, you agree to be bound by the terms of our amended Agreement.

Minors

LiteraryCornerCafe.com and all other sites in the CornerCafeSites.com network prohibit the uploading of adult content of any kind. Minors are invited to join and use our site, however, by doing so, they agree to be bound by the same rules and procedures governing our adult members. Under no circumstances or conditions will the fact that one is a minor be an excuse for engaging in prohibited behavior.

Services

LiteraryCornerCafe.com provides its members with a collection of literary information and literature related topics through its Web site, which is located at http://literarycornercafe.com and related hosts and sub-domains. While many of LiteraryCornerCafe.com's services are free of charge to its members, other services are only available to members who pay a monthly or yearly fee. LiteraryCornerCafe.com reserves the right, without notice to its members, to amend its services at any time or to begin charging a fee for services that were, prior to that time, free of charge.

Username and Password

When you become a member of LiteraryCornerCafe.com, you agree to safeguard your username and password (your "Account") and not to disclose them to any third party. In addition, you agree to take sole responsibility for any and all activities and actions under your Account, whether or not you have personally engaged in or authorized such activities and actions. You also agree to notify LiteraryCornerCafe.com at: immediately should you become aware of any unauthorized use of your account.

Email Address

All members agree to maintain as valid the email address used when they registered with LiteraryCornerCafe.com. Members wishing to change the email address that LiteraryCornerCafe.com has on file for them may do so by accessing their Account Information. After changing their email address, an email message will be sent to that member's new email account with a verification link that must be clicked in order to verify to LiteraryCornerCafe.com that the revised email address is valid. This verification step must be completed within forty-eight hours after a member changes their email address, and failure to do so will result in that member's account being temporarily locked, which will remain locked until the verification step is completed. This process is necessary because the member's own email address is the primary means of communication between LiteraryCornerCafe.com and that member, and helps to promote a measure of security between both parties.

Please note that after a member changes their email address, that member may log back into LiteraryCornerCafe.com within the forty-eight hour grace period (before the verification step is completed) and change their email address again if they find that necessary (e.g., made a mistake when entering the revised email address). Subsequent revisions made to a member's email address before the verification step is completed will not reset the grace period back to a full forty-eight hours. A member has a total of forty-eight hours between changing the current email address on record and verifying a new valid email address before their account is temporarily locked.

Mailing List

LiteraryCornerCafe.com maintains a mailing list in order to deliver its newsletter to those members who have elected to receive it. Although LiteraryCornerCafe.com will make every effort to deliver its newsletter to those members, it cannot and does not guarantee that delivery will be successful or timely. Members who have elected to receive the LiteraryCornerCafe.com newsletter may opt out at any time, either by clicking on a link in the newsletter itself, or by sending an email to: with the word "unsubscribe" either in the subject line or body of the message. You may also opt out of receiving our newsletter by accessing your Account Information and de-selecting the check box next to the option titled "I wish to receive the Literary Corner Café newsletter".

Membership Payments

Some members of LiteraryCornerCafe.com choose paid memberships, which offer features over and above those of free memberships. When you choose a paid membership, you agree to pay CornerCafeSites.com all fees and charges, including any applicable sales tax for the payment period in which such fees and charges are incurred. You also agree to provide CornerCafeSites.com with valid credit card information or a valid check or money order. By submitting this information, you agree to give CornerCafeSites.com permission to charge all fees to the credit card you designate on the registration form. All fees are payable at the commencement of your account's payment period. All of our paid memberships that have been paid by credit card automatically renew at the end of each payment period, however, you may cancel your paid membership at any time by accessing your Account Information and clicking "Cancel Paid Membership". If you choose to cancel your paid membership before the date of the next payment period, your access to all of the paid membership features will continue until the end of the payment period in which you chose to cancel. All paid memberships are non-refundable.

Please note that cancellation of a paid membership will not close (terminate) your membership account. Your membership account will otherwise remain open, until such time that you elect to close it yourself, or it is closed by LiteraryCornerCafe.com for reasons such as inactivity, violations of this Agreement, or any other reason (please see Termination of Membership below in this Agreement). In addition, as long as your membership account is open and in good standing, you may re-instate a paid membership at any time.

CornerCafeSites.com and LiteraryCornerCafe.com reserve the right to change the amount of their fees, or to amend the services provided to paid members at any time, as well as instituting new fees. When you become a LiteraryCornerCafe.com member, you give us the right to automatically charge your credit card for any and all membership fees, however, should membership fees increase, you will be notified at least thirty (30) days prior to any charge to your credit card and you may elect to cancel your paid account rather than be charged an increased fee.

Non-Transferability

All LiteraryCornerCafe.com memberships are non-transferable and may not be assigned to any third party without the express written permission of LiteraryCornerCafe.com. Any member who transfers or assigns his or her membership to a third party without the express written permission of LiteraryCornerCafe.com agrees to the immediate cancellation of his or her account without a refund of any amount.

Warranty and Lack Thereof

CornerCafeSites.com and LiteraryCornerCafe.com do not warrant that it's product descriptions, pricing, reviews, articles, and other content, regardless of the source, is accurate, complete, reliable, current, and error free, although we make, and will continue to make, every attempt to ensure accuracy. You agree not to rely on the information contained at LiteraryCornerCafe.com in any situation that would cause you either tangible or intangible loss or distress. CornerCafeSites.com and LiteraryCornerCafe.com expressly assume no responsibility whatsoever for inaccuracy or incompleteness regarding any of the content posted to its Web site.

Copyright

Members of LiteraryCornerCafe.com are permitted to download and print one copy only of any content published on the site, solely for personal use. All right, title, and interest in this content, however, will remain the exclusive property of CornerCafeSites.com and LiteraryCornerCafe.com. You may not copy the entire Web site, and you may not reproduce, modify, distribute, transfer, display, or publish any material posted on LiteraryCornerCafe.com, including written material and photographic material, without the express written consent of LiteraryCornerCafe.com. Anyone doing so is in direct violation of United States copyright laws and legal action may be taken against any and all offenders.

Content Submission

Some members of LiteraryCornerCafe.com upload written content to the site. When you upload content to our site, you warrant that you are the author of that content and the owner of all intellectual property rights. In addition, you grant LiteraryCornerCafe.com worldwide, perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete, adapt, publish, translate, create derivative works from and/or distribute and/or incorporate into any form, medium, or technology without compensation to you. Also, in addition, you warrant that all "moral rights" you may have in such materials have been voluntarily waived by you. LiteraryCornerCafe.com reserves the right to change, condense, or delete any material on its site, which, in its sole discretion, it deems to violate the content guidelines or any other provision of its User Agreement.

When uploading content to literarycornercafe.com, you agree that you will not post any content:

• that is known by you or thought by you to be false, derogatory, or misleading
• that infringes on any party's copyright, trademark, patent, or other proprietary rights
• that is, or may be considered by any reasonable person to be, defamatory, libelous, hateful, racially or religiously biased or offensive, threatening or harassing in any nature to any individual or group of individuals
• that includes any information referencing address, email addresses, contact information, or phone numbers
• that contains any viruses, worms, or potentially damaging technology of any kind
• that violates any United States municipal, state, or federal law

In addition, all users of LiteraryCornerCafe.com agree to abide by our Site Rules, which are implicitly incorporated into this Agreement.

Our members, of course, retain all ownership rights to information, text, graphics, and other materials they publish on LiteraryCornerCafe.com. Members may edit or remove their content from LiteraryCornerCafe.com at any time.

LiteraryCornerCafe.com allows its members to post their writings to other sites, however, we do ask the members who post writings on both LiteraryCornerCafe.com and other sites to link back to LiteraryCornerCafe.com from those other sites.

Copyright Violations

All content posted on LiteraryCornerCafe.com, including site design, graphics, text, and interfaces, is copyrighted LiteraryCornerCafe.com, all rights reserved. If you feel any material on LiteraryCornerCafe.com infringes on a copyright you hold, please send a notice to Your notice must meet the requirements of the Digital Millennium Copyright Act as required under Title 17, U.S.C., Section 512. The DMCA requires that you provide us with the following information in your notice:

1. An explanation of the work whose copyright you believe to be infringed
2. An explanation of where the allegedly infringing material can be found on our Web site (please include the url)
3. Your address, telephone number, and email address
4. A statement by you that says, "I have a good faith belief that use of the copyrighted materials described above as allegedly infringing is not authorized by the copyright owner, its agent, or the law"
5. A statement by you that says, "I swear, under penalty of perjury, that the information in the notification is accurate and that I am the copyright owner or am authorized to act on behalf of the owner of an exclusive right that is allegedly infringed"
6. Your signature

Upon receipt of your copyright infringement notification, written in the proper format, we will inform the other party, who has the right to file a counterclaim. However, should no counterclaim be filed, the material you allege as infringing will be removed.

Termination of Membership

You may close your LiteraryCornerCafe.com membership account at any time, simply by sending an email to or by accessing your Account Information and clicking "Close Membership Account". However, you will not be given a refund for any part of an unused, paid membership. In addition, LiteraryCornerCafe.com may terminate your account at any time, for any reason they, in their sole discretion, deem appropriate (usually repeat violations of our Site Rules, other inappropriate behavior, or long periods of account inactivity).

Other Rules

Our Site Rules have been incorporated into this Agreement, whether implicitly or explicitly. This site cooperates with all law enforcement agencies, and where appropriate, may even initiate contact with certain law enforcements agencies regarding specific member or nonmember activity.

Spam

In no case whatsoever may anyone harvest personal data from our site or used displayed email addresses to send spam. In addition, in no case may anyone use any automated means to collect information from this site. By accessing this site, you agree to be bound by this condition and also agree that should you be in violation, LiteraryCornerCafe.com has the right to contact any appropriate law enforcement agency.

Proxy Servers

In many instances, it will be impossible to access LiteraryCornerCafe.com through the use of a public (third party) proxy server, and doing so is in violation of our User Agreement. All members of LiteraryCornerCafe.com agree that they will not use a third party proxy server to access our site and that doing so constitutes grounds for an immediate termination of their account.

Indemnity

By accessing this site, you agree to indemnify CornerCafeSites.com and LiteraryCornerCafe.com, its officers, agents, partners, and employees from any and all claims or damage, including reasonable attorney's fees, made by third parties due to, or arising out of content you chose to submit, post, or transmit to our site, or through your use of or connection to the CornerCafeSites.com network, your violation of any part of our User Agreement or Site Rules, or your violation of any right belonging to another person.

Release

In the event that you have a dispute with one or more vendors who sell products displayed on the CornerCafeSites.com network or on LiteraryCornerCafe.com, you, on your own behalf, as well as on the behalf of your officers, directors, employees, agents, predecessors, successors, and assigns, hereby irrevocably release and discharge CornerCafeSites.com and LiteraryCornerCafe.com as well as its officers, directors, employees, attorneys, predecessors, successors, assigns, and agents from, against, and in respect to all past, present, and future claims, rights, actions, causes of action, suits, indemnification obligations, losses, liabilities, matters, issues, costs, and expenses, of any kind whatsoever, including without limitation, court costs and attorney's fees, whether known or unknown, concealed or hidden, fixed or contingent, suspected or unsuspected, in law or in equity concerning, related to, or arising out of any such disputes.

Liability Limits

CornerCafeSites.com and LiteraryCornerCafe.com as well as the suppliers of products seen on its sites will not be liable to you for any lost profits or special, incidental, or consequential damages however they may arise.

Governing Law/Arbitration

This User Agreement is governed by the laws of the United States of America. By accessing this site, you agree that any claim arising out of a dispute with CornerCafeSites.com or LiteraryCornerCafe.com will be settled in a Court in the state and county in which the offices and administrators of CornerCafeSites.com and LiteraryCornerCafe.com are physically located.

Disclaimer of Warranties

The CornerCafeSites.com network and LiteraryCornerCafe.com and their services are provided "as is," without warranty or condition of any kind, either express or implied. We do not promise or warrant that any aspect of this site will work properly or will be continuously available to you. You acknowledge and agree that we are not responsible or liable for the availability or accuracy of our various Web sites and their resources. Links to other Web sites do not, under any condition, imply an endorsement of resources. You acknowledge sole responsibility for and assume all risk arising from your use of any advertisers found on the CornerCafeSites.com network, including payment and delivery of related goods or services, and any other terms, conditions, warranties, or representations associated with such dealings. These dealings will be solely between you and the merchant or advertiser and you agree not to hold CornerCafeSites.com and LiteraryCornerCafe.com liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of any such merchants or advertisers on the CornerCafeSites.com network. Assignment

This Agreement does not create any agency, partnership, joint venture, employment, or franchise relationship. Our failure to act in a particular circumstance does not waive our right to act with respect to that or other circumstances at a later time. We will be excused for any problem due to any factor or factors beyond our control. If any provision of this Agreement is held invalid or unenforceable by a Court of Law, the remaining provisions of the Agreement will remain in full force and effect, and the provision affected will be construed so as to be enforceable to the maximum extent permissible under the law. Any waiver of any provision in this Agreement is only effective if in writing and signed by CornerCafeSites.com or LiteraryCornerCafe.com.
